Terms of Service

1. Agreement

By accessing or using Alma ("the Service"), operated by Mantyl Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Alma is an AI-native go-to-market (GTM) platform for building, deploying, and managing go-to-market tools and workflows. The Service enables users to create AI-driven tools, connect to third-party integrations, and automate GTM processes through a conversational interface.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

Each individual may maintain only one account. Duplicate accounts may be suspended or terminated without notice.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Abuse, overload, or interfere with the platform's APIs or infrastructure.
  • Scrape, harvest, or extract data from the Service through automated means beyond the intended use.
  • Resell, sublicense, or provide unauthorized access to the Service to third parties.
  • Circumvent usage limits, rate limits, or other technical restrictions.
  • Upload or transmit malicious code, viruses, or any harmful content.

5. Intellectual Property

Your Content: You retain all rights to the project data, configurations, and content you create within the Service. You grant us a limited license to process and store your content solely to provide the Service.

Our Platform: We retain all rights to the Alma platform, including its source code, design, architecture, documentation, and branding. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

AI-Generated Content: Content generated by the AI features of the Service in response to your prompts is licensed to you for commercial use. You are responsible for reviewing AI-generated content for accuracy and compliance with applicable laws before use.

6. Payment & Billing

Access to the Service requires a paid subscription. Subscriptions are billed annually or monthly, depending on the plan selected. All fees are quoted in US dollars.

  • Fees are non-refundable except as required by applicable law or as otherwise stated in a separate agreement.
  • Each plan includes specified usage limits. Usage exceeding plan limits will be billed at the published overage rates available on our pricing page.
  • We reserve the right to modify pricing with 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle.
  • Failure to pay outstanding invoices within 30 days may result in suspension of access to the Service.

7. Service Level Agreement

We target 99.5% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance.

  • Incident Response: We target a 30-minute initial response time for critical incidents affecting service availability.
  • Service Credits: If monthly uptime falls below the 99.5% target, affected customers may be eligible for service credits. Credits are calculated as a percentage of the monthly fees proportional to the downtime experienced.
  • Exclusions: Downtime caused by factors outside our reasonable control, including third-party service outages, force majeure events, and customer-initiated actions, is excluded from uptime calculations.

Enterprise customers may negotiate custom SLA terms as part of their subscription agreement.

8. Data Protection

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Enterprise customers may execute a Data Processing Agreement (DPA) to establish additional data protection obligations. Contact legal@mantyl.ai to request a DPA.

9. Third-Party Services

The Service supports integrations with third-party platforms including, but not limited to, Apollo, Clay, and HubSpot. Your use of these integrations is subject to the respective terms of service and privacy policies of those third-party providers.

We are not liable for any failures, outages, data loss, or other issues arising from third-party services. We do not warrant the accuracy, availability, or reliability of any third-party service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANTYL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Termination

Either party may terminate these Terms with 30 days' written notice to the other party. We may also terminate or suspend your access immediately if you breach these Terms or our Acceptable Use Policy.

Upon termination, you may request an export of your data within 30 days. After 30 days, we reserve the right to delete your data in accordance with our data retention practices described in our Privacy Policy.

Sections relating to Intellectual Property, Limitation of Liability, and Governing Law shall survive termination of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved in the state or federal courts located in Delaware.
